Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Gridline Inc. ("Gridline," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada, governing your access to and use of the Gridline POS platform, including our web dashboard, mobile applications, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Description of Service

Gridline provides a cloud-based point-of-sale platform designed for restaurants, cafes, salons, and retail businesses. The Service includes:

  • Point-of-sale transaction processing
  • Inventory and product management
  • Customer relationship management and loyalty programs
  • Staff management and role-based access controls
  • Business analytics and reporting
  • Integration with third-party payment processors and loyalty platforms
  • Offline-capable mobile POS application

3. Account Registration

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your account credentials and not share them with unauthorized parties
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

4. User Obligations

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to process transactions for illegal goods or services
  • Resell, sublicense, or redistribute the Service without our written consent
  • Upload malicious code, viruses, or harmful data to the Service

5. Subscription Plans and Payment Terms

5.1 Plans

The Service is offered under various subscription plans as described on our pricing page. Plans may include a free tier with limited features and paid tiers with additional functionality.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis in Canadian Dollars (CAD) unless otherwise stated. All fees are exclusive of applicable taxes (GST/HST), which will be added at the applicable rate.

5.3 Payment Processing

Payments are processed through Stripe. By providing payment information, you authorize us to charge your designated payment method for all fees incurred. You are responsible for keeping your payment information current.

5.4 Transaction Fees

Payment processing fees for transactions processed through the POS system are charged separately as described in your plan details. These fees are non-refundable.

5.5 Late Payments

If payment fails, we will notify you and may suspend access to the Service after 7 days of non-payment. Accounts with outstanding balances exceeding 30 days may be terminated.

6. Cancellation and Refunds

6.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

6.2 Data After Cancellation

Upon cancellation, your data will be retained for 90 days in case you wish to reactivate. After 90 days, your data will be permanently deleted unless retention is required by law.

6.3 Refunds

Annual subscriptions are eligible for a pro-rated refund within the first 30 days. Monthly subscriptions are non-refundable. All transaction processing fees are non-refundable.

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by Gridline Inc. and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You retain ownership of your business data uploaded to the Service.

You grant us a limited, non-exclusive license to use, store, and process your data solely for the purpose of providing the Service to you.

8. Service Availability and Modifications

We strive for 99.9% uptime but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. Material changes to features included in your plan will be communicated at least 30 days in advance.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Gridline shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Gridline in the 12 months preceding the claim.
  • We are not liable for damages arising from third-party services (including payment processors, loyalty platforms, or integrations) accessed through the Service.

10. Indemnification

You agree to indemnify and hold harmless Gridline, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification provisions.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

13. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@gridlinepos.com. If a dispute cannot be resolved within 30 days, either party may pursue formal resolution through the courts as specified in Section 12.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
